Job Description

The Senior Ethics Officer has primary responsibility for assisting with the development and administration of KeyBank’s Ethics Program, including, but not limited to, the Ethics HelpLine used by employees to report known or suspected illegal or unethical activities within the Bank. The Ethics Manager is responsible for oversight of all ethics-related investigations, including those originating from sources other than the Ethics Helpline. Specifically, identification of the issue, triage, assign investigator(s), case management, timely resolution, follow-up with complainant, if appropriate, and challenge final disposition of the case when appropriate. In addition, the Ethics Manager is responsible for oversight of the production of regular ethics program reporting. The Senior Ethics Officer is also responsible for analyzing and providing recommendations around risks associated with specific fact scenarios that are governed by the Code of Business Conduct and Ethics.

The Senior Ethics Officer has responsibility for assisting with the implementation of a program that mitigates and discourages employee misconduct. This position is responsible for ensuring compliance risk requirements and processes related to ethics management comply with regulatory requirements and Key’s Risk Management policies and program requirements. This position also has oversight responsibility of business activities that are managed within the first line of defense to ensure that operations remain within Key’s Compliance Risk Management appetite. The qualified candidate must be able to work independently and use sound judgment taking into consideration risk tolerances of KeyCorp.

The position includes providing highly specialized guidance and oversight on current and emerging legal, regulatory, and operational risk issues related to ethics and misconduct, monitoring and measuring operational risk performance, and reviewing and challenging of strategy, control design, implementation, testing, and remediation. The Senior Ethics Officer must be able to effectively build and manage relationships with other stakeholders, which requires partnering while executing their fiduciary oversight role.

Essential Job Functions
  • Work with other risk professionals who work directly with the lines of business (LOBs) to identify risks and advice on fact scenarios that are governed by the Code of Business Conduct and Ethics.
  • Provide direction and deliver training to line of business personnel, Risk Management staff and others.
  • Monitor and assess new or amended legal and regulatory requirements, as well as industry best practices related to Ethics Programs.
  • Provide strong leadership, mentoring, and guidance to subordinates, peers and other members of the team as well as other members of Risk Management.
  • Analyze and provide recommendations around risks associated with specific fact scenarios that are governed by the Code of Business Conduct and Ethics.
  • Responsible for proactively anticipating and responding to changes in regulations, rules and/or laws; assessing the impact of any change to the Ethics Program.
  • Assist with responses to internal and external audits, exams and requests for information. Direct the evaluation of audit and examination findings and implementation of corrective action and needed responses.
  • Develop and maintain positive working relationships with internal clients, staff, peers, and LOB senior management.
  • Maintain relationships with industry peers and regulatory bodies.
  • Identifies, responds and/or escalates risks as appropriate;
  • Assists with the review and/or development of policies and procedures and other preventative and detective controls to implement the Code of Business Conduct and Ethics.
  • Conducts review and challenge activities and escalation, including independent testing as required.
  • Escalates promptly to Chief Ethics Officer any material breaches of applicable laws, rules, policies or standards with actual or potential compliance risk impact, and necessary correction action.
Required Qualifications
  • An undergraduate degree is required, advanced degree/law degree is preferred
  • Minimum of 5years of relevant industry and professional experience
  • Extensive knowledge of corporate ethics programs including the related laws, regulations and expectations applicable to the financial services industry.
  • In-depth practical knowledge of internal controls, risk assessments and compliance and compliance processes, and applicable techniques for implementation of regulatory, compliance and legal requirements and compliance processes.
  • Strong leadership and relationship management skills including the ability to lead up and across the organization.
  • Ability to work independently with little supervision, while maintaining the integrity of the program, policies, procedures and protocols.
  • Has high ethical standards
  • Ability to effectively communicate to lines of businesses, both in writing and verbally
  • Proven to be a proactive thinker
  • Strong project management and/or continuous improvement skills
