About the Job
The KeyCorp Law Group is seeking an experienced and versatile corporate finance attorney to support KeyBanc Capital Markets Inc., the investment banking arm of KeyCorp and an institutional broker-dealer. The ideal candidate will have 3-5 years of broad-based law firm experience in capital markets, M&A and corporate lending matters, as well as experience in servicing a demanding client base. The position will be based at KeyCorp’s headquarters in Cleveland, Ohio and will report to the Senior Vice President and Senior Counsel. This is a unique opportunity to work within a dynamic and growing area of KeyCorp and with a high degree of autonomy. It offers candidates coming from a law firm or in-house environment a unique perspective on the client side of a major super-regional financial services institution, while allowing for work/life balance.
Essential Job Functions
Provide legal advice to management and staff related to investment banking transactions.

Specific responsibilities include:
Draft, review and negotiate various agreements relating to KBCM’s investment banking activities (including underwriting agreements, M&A engagement letters, fairness opinions, commitment letters, confidentiality agreements).
Assist in the identification, escalation and resolution of potential conflicts of interest and reputational issues.
Advise and assist in the recommendation, implementation and maintenance of policies and procedures relevant to KBCM’s investment banking business.

Perform legal research and provide summaries of findings as required or assigned.

Periodically update standard form documentation in response to business requirements and regulatory and market developments.

Provide legal updates to co-workers regarding areas of expertise as appropriate.

Develop and maintain strong collaborative relationships with internal clients and Law Group colleagues responsible for covering other functional areas.

Other duties and special projects, as assigned.
Required Qualifications
Bachelor’s Degree, Juris Doctorate

Must be a member in good standing of Ohio or New York bar.

3-5 years’ minimum relevant experience working at a large corporate law firm.

Strong general corporate background with relevant experience in corporate and securities law, including the Securities Act of 1933 and the Securities Exchange Act of 1934.

Strong understanding of legal and transactional issues related to equity and fixed income securities offerings and M&A transactions.

Excellent interpersonal and written/verbal communication skills.

Ability to find balanced solutions that support business objectives while mitigating attendant risks.

Preferred Qualifications

In-house legal experience with large financial services institutions a plus.
Experience with corporate lending transactions.
Working knowledge of FINRA rules governing investment banking transactions.
Familiarity with broker-dealer regulation.
