Job Description

The KeyCorp Law Group is seeking an experienced attorney to provide support for regulatory matters. The right candidate will have a demonstrated interest in bank and bank holding company regulation and the financial services industry.

Areas of Expertise
The right candidate should have a desire to develop a comprehensive knowledge of federal banking regulation and have experience in one or more of the following areas:

  • Investment powers of banks and bank holding companies
  • Capital management and liquidity
  • Regulation W and intercompany transactions
  • Volcker rule
  • CCAR and stress testing
  • Operational risk
  • Regulation K and international banking
  • Regulation O and conflicts of interest
  • Anti-tying rules
  • Resolution planning

The focus for the position will be corporate and institutional regulation. It will not involve regulation of consumer banking but could include anti-money laundering, privacy or information security regulation on occasion.

Essential Job Functions
The right candidate should have a client service focus, including the ability to find balanced solutions supporting business objectives while mitigating risks and to anticipate client needs based on an understanding of business and regulatory environments. Candidates should be able to assimilate new information, recommend solutions, communicate and collaborate with legal and business professionals at all levels. Day-to-day responsibilities include to:
• Provide legal advice to KeyCorp, KeyBank and their subsidiaries regarding federal laws governing banks and bank holding companies;
• Develop and maintain strong collaborative and collegial relationships with clients and Law Department colleagues;
• Serve as an advisor to, and collaborate with, line of business attorneys and clients as regulatory matters arise with focus on obtaining business objectives;
• Serve as principal advisor to corporate treasury and risk management functions on regulatory matters;
• Keep informed of relevant legislation and rulemaking by the Federal Reserve, OCC, FDIC, CFTC;
• Review and revise regulatory policies and processes;
• Provide legal updates to clients regarding areas of expertise as appropriate;
• Coordinate with outside counsel on regulatory matters as necessary;
• Develop and maintain collaborative and collegial relationships with outside attorneys and industry representatives;
• Undertake other special projects as assigned.

Professional Qualifications
The position could be structured for either a junior, mid-level or more senior regulatory attorney and requires significant relevant experience (2+ years for junior candidates; 5+ years for more senior candidates) acquired at a federal banking agency, in-house position within a bank or bank holding company or relevant experience with a law firm.
• Excellent interpersonal and written/verbal communication skills.
• Juris Doctorate.
