Job Description

Position Responsibilities:
  • Provide legal expertise regarding fiduciary, investment management, institutional trust and retirement plan legal issues, including transactional guidance, new product rollouts, regulatory inquiries and customer complaints.
  • Address all inquiries in a responsive and timely manner.
  • Conduct legal research regarding applicable rules and regulations, such as federal and state law requirements of corporate fiduciaries.
  • Draft agreements, policies and procedures, disclosures, account documentation and website materials.
  • Support Trust Administration, Trust Tax, Trust Real Estate, and Probate.
  • Advise on ERISA and retirement plan requirements.
  • Advise on regulatory rules relevant to new products and services.
  • Respond to requests and inquiries from state and federal regulators and partner with litigation, regulatory and employment colleagues to ensure effective coordination of matters.
  • Identify and draft necessary changes to Key’s procedures and systems to meet the requirements of new rules/regulations.
  • Manage and oversee internal investigations.
  • Partner with Risk and Compliance to help ensure effective communication and timely incorporation of lessons learned and best practices across the lines of business.
  • Work with Procurement area on review and negotiation of vendor contracts.
  • Oversee timely handling and resolution of pre-litigation disputes.
  • Understand and apply rules generally applicable to clients of national banks, including privacy and AML-BSA.
  • Serve as Law Group representative on various special projects as needed.
  • Engage and oversee outside counsel as appropriate and manage related costs.
  • Juris Doctorate from an accredited institution
  • Rigorous academic background and demonstrated aptitude
  • Minimum 2 years post law school experience; prior experience at a law firm preferred
  • Experience advising clients in financial services industry a plus
  • Excellent communication and interpersonal skills with a collaborative mindset
  • Ability to multi-task and prioritize to meet deadlines
  • Ability to work independently and exercise sound legal judgment
  • Admission to appropriate State Bar in good standing
  • Familiarity with or willingness to learn relevant laws and regulations applicable to corporate fiduciaries
  • Ability to anticipate client needs, deal with complex legal issues, and deliver difficult messages without jeopardizing client relationships
  • Strong negotiation and conflict resolution skills
  • Detail-oriented and decisive
